What offshore means in Dubai

The UAE offers two serious offshore registries: JAFZA Offshore in Dubai and RAK ICC in Ras Al Khaimah. Both create non-resident companies, vehicles that exist to own things rather than to run day-to-day operations. No office, no staff visas, no onshore trading.

The Dubai-specific advantage sits with JAFZA Offshore: it is the registry accepted by the Dubai Land Department for holding title to approved freehold property. Families structuring Dubai real estate, groups consolidating shareholdings and founders ring-fencing intellectual property make up most of the demand.

Where an offshore company earns its keep

  • Dubai property holding. Title held by a JAFZA Offshore company simplifies succession and joint ownership, and transfers of the company can be cleaner than transfers of the deed.
  • Group holding. One vehicle above your operating companies, in a jurisdiction with strong treaty and banking access.
  • IP and asset protection. Trademarks, patents and investments separated from operating risk.
  • Estate planning. Shares pass under the company's articles rather than through probate on each asset.

Where it does not fit

If you want to invoice UAE clients, hire staff, get a residence visa or open a shop, an offshore company is the wrong tool, and anyone selling you one for those purposes is doing you a disservice. The right answer there is a free zone or mainland company, sometimes with an offshore holding layer above it.

Setup, practically

Formation runs through a registered agent, which is the role we hold. What can a Dubai offshore company actually do?

Hold assets: shares in other companies, bank accounts, intellectual property and approved Dubai real estate in designated areas. It can invoice internationally for some activities. What it cannot do is trade inside the UAE, lease an office here or sponsor residence visas.

JAFZA Offshore or RAK ICC, which is better?

JAFZA Offshore is the only offshore registry that can hold Dubai real estate title directly, and Dubai courts and banks know it well. RAK ICC, in Ras Al Khaimah, is cheaper and faster for pure international holding. We recommend based on the assets you plan to hold.

Does an offshore company get a UAE residence visa?

No. Offshore vehicles are non-resident by design. If you need residency, pair the offshore holding company with a free zone operating company, a structure we set up frequently, or consider property and golden visa routes.

Is a UAE offshore company legal and transparent?

Fully. The UAE enforces economic substance rules, UBO registers and common reporting standards. An offshore company is a legitimate holding tool, not a place to hide income, and banks will expect a clear ownership picture during onboarding.
